1. About these terms
These terms apply to orionacuity.com (the “website”), which ORC Consulting LLC, a Nevada limited liability company, operates under the name Orion Acuity (“we”, “us”). They cover use of the website and inquiries submitted through it.
When you submit the inquiry form, you are asked to confirm that you agree to these terms. Browsing the website does not by itself create an agreement. If you do not submit an inquiry, the sections on website information, using the website, content and links describe how we offer the website and the rights we have under law; they do not depend on your agreement.
These terms do not govern consulting services. Any engagement is governed by a separate written agreement signed by both parties, which prevails over these terms for that engagement.
2. Business use
The website is intended for businesses and people acting for a business, including sole proprietors. By submitting an inquiry, you confirm that it is made for a business purpose and that you are authorized to make it.
3. Website information
The website describes our services and approach in general terms. It is not advice for your situation, and you should not act on it without considering your own circumstances. Examples and illustrations show how we work; they are not client case studies, results we have achieved or predictions of results for you. Images are illustrative.
We take reasonable care with the website, but we do not promise that it is complete, current or error-free, or that it will always be available.
4. Inquiries
- An inquiry does not create a client relationship or a consulting engagement, and does not oblige either of us to proceed. We may decline any inquiry.
- Introductory discussions are intended to explore whether we can help. Unless we expressly agree otherwise in writing, they are not a deliverable or a recommendation prepared for implementation. Nothing here excludes duties or liability that applicable law does not allow us to exclude.
- Please do not send confidential information, trade secrets or sensitive personal information in an inquiry. Submitting an inquiry does not by itself create a confidentiality agreement. Any existing confidentiality agreement and applicable legal duties remain in effect. We handle inquiry information as described in our Privacy Notice.
- Information you send should be accurate, and you should be entitled to share it.
5. Scope of our services
Our services concern business operations, workflow review and automation design (including limited prototypes), go-to-market strategy, and U.S.-focused market-entry planning with coordination we agree in writing.
We do not provide personal investment, retirement or consumer financial planning; securities advice; arranging investments or fundraising, or acting as an intermediary in securities or business-sale transactions; tax advice or tax return preparation; audit, review or other assurance services; or legal or immigration services. If a project needs work of that kind, it must be carried out by appropriately qualified professionals engaged separately, and their responsibilities remain theirs.
We do not guarantee another provider’s work, regulatory approvals or business results. Our own agreed coordination responsibilities remain governed by the engagement agreement and applicable law.
6. Using the website
You may view the website, share links to it, and quote brief excerpts with attribution to Orion Acuity. Nothing in these terms limits uses permitted by law, such as fair use. You must not:
- use the website unlawfully or in a way that infringes others’ rights;
- interfere with the website or its security, attempt unauthorized access, or test its vulnerabilities without our written permission;
- submit spam, malicious code or false information, or impersonate anyone;
- submit bulk, spam or abusive inquiries by automated means (this does not prohibit assistive technology used for a genuine inquiry); or
- use our name, logo or content in a way that suggests we endorse, partner with or are affiliated with you when we do not.
7. Content and brand
The website’s text, design, the Orion Acuity name and logo, and other materials are owned by us or our licensors, or used as permitted by law. Except as allowed above or by law, please ask us before reproducing substantial parts of the website or using our name or logo.
8. Links and third-party services
Links to other websites are provided for convenience. We do not control those websites and are not responsible for their content or practices. Services we use to run the website, such as hosting, security and email delivery, operate under their providers’ own terms.
9. Liability
To the extent permitted by law:
- we provide the website on an “as available” basis, without warranties beyond those that cannot be excluded by law; and
- we are not liable for indirect, incidental, special or consequential loss (including loss of profit, revenue, business or opportunity, but only where that loss is indirect or consequential) arising from use of or inability to use the website, or from reliance on its general information.
This section does not limit or exclude liability for fraud, gross negligence or willful misconduct, or any liability or right that cannot be limited or excluded under applicable law. It does not apply to services provided under a signed engagement agreement, which sets its own terms.
10. Governing law and disputes
These terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules, except where mandatory law of your location requires otherwise. Disputes about these terms or the website will be resolved in the state or federal courts located in Nevada, unless applicable law gives you the right to bring a claim elsewhere. Before starting proceedings, please contact us so we can try to resolve the matter informally.
11. Changes to these terms
We may update these terms. Each version shows its effective date and version number. An inquiry is governed by the version you accepted when you submitted it; a new version applies only to inquiries submitted after it takes effect. Earlier versions are available on request.
12. General
- If any part of these terms is found unenforceable, the rest remains in effect.
- If we do not enforce a provision, that is not a waiver of it.
- Nothing in these terms limits rights you have under laws that cannot be waived or limited by agreement.
- These terms are available in English and Chinese. If the versions differ, the English version applies, except where applicable law requires otherwise.
